Terms of Service

1. Acceptance of Terms
By accessing or using Ultrassure's contract intelligence platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Ultrassure provides an AI-powered contract intelligence platform that extracts, structures, searches, and analyzes insurance documents including contracts, treaties, wordings, and endorsements.
3. Account Registration
You must register for an account to use the Service. You agree to:
- Provide accurate, current information
- Maintain the security of your account credentials
- Notify us immediately of unauthorized access
- Be responsible for all activities under your account
4. Acceptable Use
You agree not to:
- Upload illegal, fraudulent, or infringing content
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Reverse engineer or attempt to extract source code
- Use the Service to compete with Ultrassure
- Resell or redistribute the Service without authorization
5. Your Content and Data
Ownership
You retain all ownership rights to the contracts and data you upload ("Your Content"). We claim no ownership over Your Content.
License to Process
You grant us a limited license to process Your Content solely to provide the Service to you. This includes storing, analyzing, and displaying Your Content as you direct.
Responsibility
You are responsible for ensuring you have necessary rights to upload Your Content and that it doesn't violate third-party rights or laws.
6. Intellectual Property
The Service, including software, designs, trademarks, and proprietary AI models, is owned by Ultrassure and protected by intellectual property laws.
7. Fees and Payment
- Fees are based on your selected plan and contract volume
- Payment is due according to your billing schedule
- Price changes require 30 days notice
- Late payments may result in service suspension
- No refunds for partial billing periods unless required by law
8. Service Level Agreement
We commit to:
- 99.9% uptime for Professional plans
- Up to 99.99% uptime for Enterprise (per agreement)
- Service credits for downtime exceeding SLA commitments
9. Data Security and Privacy
We implement enterprise-grade security measures as detailed in our Privacy Policy. However, no system is 100% secure. You use the Service at your own risk.
10. Confidentiality
Both parties agree to maintain confidentiality of information marked as confidential. Your Content is considered confidential by default.
11. Disclaimers
THE SERVICE IS PROVIDED"AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- AI extractions will be 100% accurate in all cases
- The Service will meet your specific requirements
- All errors will be corrected
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTRASSURE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding fees paid in the 12 months prior to the claim
13. Indemnification
You agree to indemnify Ultrassure against claims arising from your violation of these Terms, misuse of the Service, or violation of third-party rights.
14. Term and Termination
Term
These Terms remain in effect while you use the Service.
Termination by You
You may terminate by canceling your subscription. Access continues through the end of your billing period.
Termination by Us
We may suspend or terminate your account for violations of these Terms or non-payment, with notice when possible.
Effects of Termination
Upon termination, you may export Your Content for 30 days, after which it will be deleted.
15. Changes to Terms
We may modify these Terms with 30 days notice for material changes. Continued use after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
17. Dispute Resolution
Disputes will be resolved through binding arbitration, except you may bring claims in small claims court.
18. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between parties
- Severability: Invalid provisions don't affect remaining terms
- No Waiver: Failure to enforce a provision doesn't waive future enforcement
- Assignment: You may not assign these Terms without our consent
